For
distributors and wholesalers we practice the prices
listed in our Wholesaler and Distributor Price List.
There can be no intermediation of a commercial representative,
purchases must be made directly from the factory.
1.1
- Price List for Distributors and Wholesalers
Direct sales to distributors and wholesalers will
have a discount according to the sale prices on the
price list.
1.2
- Financed Sales
The sales period will be made after approval register.
The minimum order is 03 boxes with 500 sweet, and
for the state of Sao Paulo is 05 boxes with 500 sweet.

1.3
- Product Delivery
Product deliveries will be made through FOB (Free
On Board) shipping (the client pays if the quantity
is up to 6,000 candies). Delivery is made within 7
to 10 days, depending on the location of the distributor
or wholesaler.
1.4 - Market Share Exclusivity Rights
The exclusivity of product distribution within a certain
area will be defined upon the purchase and subsequent
sale of such products.

COMMERCIAL REPRESENTATIVES |
2.1 - Price List for Commercial Representatives
The prices are defined in a specific price list according
to a spreadsheet.
2.2
- Commercial Reps' Commission
a) The commission of the Commercial Representative
on the value of billed invoices will be negotiated
between parties.
b) Commissions will be paid to Reps. after the invoice
has been billed to the client. The values of these
invoices will be checked throughout the month and
will be paid no later than the tenth working day of
the subsequent month.
2.3
- Financed Sales
The Commercial Representative is responsible for the
credit.
2.4
- Product Delivery
Product deliveries will be made through FOB (Free
On Board) shipping (the client pays if the quantity

2.6
- Orders
Commercial Representatives should send orders using
their own forms. All fields must be filled out (client
information, billing date, delivery address, commercial
rep. information, and billing address). Pay close
attention to the values of the orders placed, the
price policy, and deadlines. Please indicate the client's
usual transporting company and negotiate the delivery
deadline with our factory, according to the client's
needs.
2.7
New Clients
It is vital that all of our new clients list the following
information in their first order:

Record
information (main clients, suppliers, bank account
information, etc.)

Copy
of the company's Business License, with the latest
ammendments made by the State Commerce Office (Junta
Comercial)

Copy
of the company's Employer ID Number (CNPJ - Cadastro
Nacional de Pessoa Jurídica)
·
Copy
of the company's State License (Inscrição
Estadual)
·
Listing
of the company's assets (machinery, buildings, stocked
items, etc.)
Obs:
This list of documents is also applicable for the
registration process of Commercial Representatives.
2.8
- The Profile of a Commercial Representative
Commercial Representatives must be legally licensed
companies, possessing a specific license to operate
as a Commercial Rerpesentative. They must be registered
in the Regional Board of Commercial Representatives
(CORE - Conselho Regional dos Representantes Comerciais).
Proof of registration is required.
